    I have a question from my sales staff. Are there any documents, or stipulations in the contract, that protect us from liability for systems we take over to monitor that we did not put in?   An ‘as-is’ type item?   Or is there verbiage you can provide that I can add to the contract?

    Once you take over the monitoring you will be responsible for the mistakes of others.  Take overs are covered in the Disclaimer Notice.  The All in One Agreements do have sufficient protective provisions.  That said, you should be inspecting and testing any take over system.  Not recognizing zone signals is often a problem on take overs [and sloppy installations] so be mindful to test all zones and make sure the central station can correclly indenify every signal.

    I'd like to respond to Sharon's question to you asking whether you are aware of anyone that has a good website developer for alarm company?
     As many of your subscribers know we're a marketing agency that has dedicated itself to the security industry for the last 5 1/2 years having worked with over 150 security companies nationwide.  When it comes to your marketing there's no question that your Website is the hub.  Keep in mind that it must be in unison with your value proposition which is what makes you unique from other security companies.  Many security companies work with different types of end users ie residential, small business, commercial, industrial and even the government. As you know the needs of each of these end user segments is very difference and hence need to be marketed to differently on your Website.   We work with many SDM Top 100 Dealers and Integrators, smaller groups and everywhere in between.  There are other groups that have experience in security however what makes us different is that Websites is a small piece of what we do.  We act as more of your marketing department.  You may get all of your business through word of mouth, telemarketing, door to door sales or through other marketing methods.  We've worked with all different types and can help with other aspects of your marketing and most importantly putting a plan in place based on your goals and objectives based on your budget. I'm happy to share examples and references.

    I have a potential commercial customer that will not sign the personal guaranty.  I am using your All in One Commercial contract.  The company claims that they don’t provide personal guaranty which is why they took this section out.  Would the contract be binding if there is only the name of the company printed under subscriber and authorized officer signature but personal guaranty crossed out?

    The Commercial All in One has a provision for a personal guarantee.  Nice if you can get it, but it's not essential to the enforcement of the contract.  Since most commercial contracts will be signed by corporate entities [or LLCs] the personal guarantee by one of the company's principals may provide additional protection in the event you have to pursue the company in a collection action.  Corporate obligations guranteed by a personal guarantee often get paid ahead of other corporate debt.
