Well there are plenty, though I am not sure which ones bother you. You are responsible to review the agreement carefully before signing it and I am available to explain anything you don't understand; also perhaps highlight something that I would find objectionable on your behalf [even if you don't] such as the indemnity provision. Contract terms are a matter of negotiations and there are more items that need to be considered besides the cost, upfront or continuing. I can't know if the software is so terrific that you are willing to agree to terms you would ordinarily find difficult to accept. For example, are you agreeing to be locked in for a long term with no way out, other than bankruptcy or lots of money? Could be tasks that you have to perform that you'd prefer the vendor to do or tasks you simply can't figure out how to do. Hiring another vendor to help you deal with this vendor doesn't seem very efficient to me. Be sure you have a way out if you are not satisfied with the service. Also be aware of hidden costs and charges. Dispute resolution may be so stacked against you that there will be no point getting into a dispute in the first place. Buyer beware is something to keep in mind. Also, the friendly and helpful sales person will be gone once the ink is dry.
