     Bingo; All the reasons listed in the article "can you recoup training expenses from departing employee" from September 25, 2025 are important. How about a few more?
    When AFS becomes involved as a lender or in helping prepare a company to be sold, or in assisting in finding a buyer, its Employee Contract is important. It protects against poaching. Huge!!     Jim is correct that an employee contract is important; every employee should sign an Employment Agreement and companies with 10 or more employees should have an Employee Handbook [which needs to be updated regularly because of changes in employment law in your state or federal].  
    Poaching is only one issue addressed in the restrictive covenant provisions, and not every state permits such provisions, so be careful not to delude yourself.  It's common for a buyer of alarm accounts to inquire about key employees and whether they are under any restrictions if and when they leave the employment.  
    Restrictions on competition are enforced only to the extent necessary for the employer as  long as not unduly burdensome to the employee, and in some states not enforceable at all.  But all states do recognize that confidential and proprietary data and information is property of the employer and an employee cannot leave employment with more than might be stored in the employee's head; certainly no electronic or hard copy records.
