In your response you said “Isn't there a tax code mechanism that permits a stock deal to be taxed as an asset deal? Would the tax consequence be the same then?” The answer is, yes, it is covered in IRS Code 338(h)(10) but the Seller still had to be an S Corp. I get calls from CPAs who either don’t know our industry, or don't understand transactional accounting, who have ideas on how to avoid double taxation in the sale of a C corp. Believe me, if I had a legitimate solution I would be doing it all day.
