Designing your master service agreement

    We would like a master services agreement.  Is this something you can do for us.  I notice that some big companies use these forms.

    A master service agreement sounds like a good solution to consolidating contracts with a subscriber to one contract, but it has its limitations.  When closely analyzed I think you're going to end up trying to bang a not so round peg into a round hole.  
    K&K offers a Rider for Multiple Locations.  This Rider turns your All in One into a Master Agreement for future locations.  This too has its limitations.  For example, the agreement will have to be with the same subscriber; that means the end user or an agent acting for the end user. It does not mean one subscriber who happens to have an owner who owns a bunch of other entities and wants service for those too.  So one stockholder but two entities should not be signing one contract that covers both locations.  
    Because the All in One agreements are designed for specific systems and services, security or fire, commercial or residential, the multiple location should also apply for the same category.  The Master Agreement and the Rider do not work particularly well for commercial fire alarm sales and installations; there is just too many differences involved.  Ultimately the Master Agreement will need to be supplemented to such an extent that there is no reason to start with it in the first place.
    Here is where a Master Agreement [with Rider] makes sense:  Subscriber engages you to provide monitoring and repair service, perhaps inspection as well, and tells you "I have one location now but I'll be giving you other locations, owned by the same entity, for you to do identical services.  Even in that case you will need some back and forth written documentation, such as a PO, a quote or confirmation that you will add the new location, pricing [unless it's going to be exact same price] to confirm the details of the new location.  The Rider covers this.  All you can accomplish with a Master Agreement is to incorporate the Rider terms in the original agreement.  Since most situations will not lend themselves to a Master Agreement it doesn't make sense [to me] to have only a Master Agreement which you use for all subscribers.  The properly drafted alarm, security, fire, etc contracts are lengthy enough without adding the additional provisions that would cover future jobs with the same subscriber.  
    The answer to the question is, sure, K&K can draft any contract you want.  But just because someone else is doing it doesn't mean it's suitable for you.  You use the K&K Standard Forms; you keep them updated; use the Rider for Multiple Locations, it works just fine.
