Jennifer, 

You've been with me now through my ups and downs.  A few different positions.  Am I wrong when I say, if the contract is bad, feels bad and my potential new boss just doesn't care I feel that way, perhaps the whole apple is rotten?

Answer

Some times, it’s the lawyer’s fault.  Bad lawyer or over protective lawyer not sensitive or not in tune with the client.  Some times the client doesn’t read the contract or know if what is being sent out is off market. 
 
More often than not, the contract is a result of the employer having been burned before, OR the employer itself is over protective and putative. 
 
It’s not always bad contract, bad job or opportunity.  However, more often than not, there is a correlation. 
 
Selecting a job is like selecting a spouse – very often the dating period is pretty good, but there were signs you should have gotten out earlier, or it was right from day 1. 
 
Trust your instincts.  If this one feels like the first best thing you found, and now you aren’t so sure, perhaps wait and see what comes?
