Ken,
          We have a property management company that signed our K&K agreement on behalf of the condo association we are monitoring. Today we took over the account and the account is live and I receive a vendor packet with new terms and insurance requirements.  Will the value of our contract be reduced if we sign a vendor agreement?  What should we do?

          You have 3 choices
*  comply
*  ignore or let them know you already have a contract and it doesn't include any of those terms 
*  negotiate the insurance requirements and the additional insured - limited that to your acts under the contract only
          As you recognize the K&K Standard Form Agreement creates the most equity you can expect for a contract; the  highest multiple if you sell the contract.  Changing the standard form terms or signing another agreement that affects that standard form will of course reduce the K&K contract’s value.  Makes sense; the subscriber isn’t going to insist on terms that make your contract terms more favorable to you.
          You can hold the subscriber to your contract because its already signed.  In your case you have already performed by installing the system and activating the service.  Of course the contract will end at some point and the subscriber may then look elsewhere for service, so maintaining good relations is important; probably not as important as retaining the integrity of your contract terms.
          The vendor agreements are not deal breakers by any means and this customer could have asked for its vendor agreement terms before signing your contract.  Many of those terms are acceptable.  In particular the terms are acceptable then it comes to installation; you on customer property doing the installation or when doing a repair.  I don’t have a problem with you being responsible for damage you cause in same way as any other contractor.  But the nature of your security business exposes you beyond what other contractors need to be concerned about.  You need special contractual protection and the K&K Standard Form Agreements provides that protection.  Avoid watering down the effectiveness of the contracts.  The Concierge Program will save you customer relations, protect the contract integrity and save you money in the long run; join today.
