Confirming additional insured

Ken,
          Recently Purchased your contracts (K&K’s Contract Administrator Eileen Wagda was great!); have a simple question.
          Under the insurance provision it requires the customer to name us as additional insured under their insurance policy; do we have to chase them each year that their policy renews for proof of same?  How do we ensure that they're complying and if they don't is that sufficient grounds to hold us harmless against any claims that might be made?

          You are referring to the Insurance Procurement provision, which is in all Kirschenbaum Contracts™.  This provision requires your subscriber to name you as an additional insured on its general liability policy.  You would have the same coverage as your subscriber as an additional insured, if your insured obtains the correct additional insured endorsement.  Most don’t.  So chasing your subscriber for the additional insured endorsement probably doesn’t have to wait for renewal because the coverage was never requested in the first place.
          You confuse two related but entirely different provisions, and important items of contractual protection for you, the insurance procurement clause and the indemnity clause.  While the insurance will provide indemnity, the subscriber’s indemnity commitment is independent of the insurance.  In fact, because your subscriber has agreed to indemnify you it would be wise for the subscriber to get the insurance protection to cover that indemnity obligation, because without the insurance the subscriber’s indemnity will be an expense to the subscriber.
           It’s possible that a subscriber could claim you waived the insurance procurement clause because you didn’t follow up and chase the subscriber to provide proof of coverage.  This waiver argument should be rejected, but could go other way, so if it’s important enough to you then you should insist on the coverage and proof of coverage.  The additional insured endorsement always comes with a notice of non-renewal or cancellation which is provided by the carrier, so you should get notice.
          On this subject, there are contracts you are signing that require you to provide indemnity.  Those contracts may not require additional insured coverage, but you should always obtain it if you are providing indemnity.  I’ll be covering this in the Group Meetings at Las Vegas; sign up for the meetings where we will cover loads of topics you need to know about.  The meetings are less than hour and it will prove to be time well spent; inexpensive too – it’s free, but don’t let that fool you – it will be worth every penny!!!
