ORDER AUTHORIZING RETENTION OF REAL ESTATE BROKER TO TRUSTEE

Upon the annexed application of KENNETH KIRSCHENBAUM, trustee in the

above case, dated November 15, 2001, and the affidavit of Valerie Van

Cleef, sworn to on November 12, 2001, in support of the trustee’s

application for an order authorizing the employment of COACH REAL ESTATE

ASSOCIATES, INC. ("Coach") as real estate broker to the trustee and the

Court being satisfied that said broker does not represent or hold any

interest adverse to the estate with respect to the matters upon which it

is to be engaged, that it is a disinterested person under Sections 101

and 327 of Title 11, United States Code, that its employment is necessary

and would be in the best interests of the estate, and sufficient cause

appearing therefore, it is

ORDERED, that Kenneth Kirschenbaum, as trustee, is hereby authorized to

employ and retain Coach as his real estate broker to perform services as

requested by the Trustee in connection with the marketing and sale of the

property commonly known as 45 Gulf Street, Lindenhurst, New York; and it

is further

ORDERED, that compensation in the maximum amount of 5% of the gross sale

price of the subject property shall not be paid to Coach except as is

approved by the Court, upon proper application and notice; and it is

further

ORDERED, that Kenneth Kirschenbaum, as trustee, is authorized to permit

and authorize Coach to appoint the Participants of the Multiple Listing

Service of Long Island, Inc. (the "MLS") as broker agents for the purpose

of assisting Coach in the performance of its obligations as real estate

broker to the trustee; and it is further

ORDERED, that if a participant of the MLS is successful in producing a

purchaser for the subject property, compensation shall not be paid except

as is fixed by the Court upon proper application and notice, but in no

event shall the final awards of compensation to Coach and the MLS

participant exceed the aggregate sum of 5% of the gross sale price of the

property.
