STILL USING OLDER CONTRACTS

    Our contracts just keep getting older!  We use a purchase agreement for equipment and a monitoring agreement for RMR deals, where the title transfers at 36 months.  We also sell/install/monitor a variety of PERS products.  We want to be able to do docusign or some form of electronic.  How do you handle specific law in our state?

    Your forms must be very old because retaining title to equipment until fully paid for went out over 35 years ago.  Why?  If you're not perfecting a security interest you won't retain title once the equipment is installed, at least as to your subscriber's successors and creditors.  And, you're not perfecting the security interest.
    You need to get the All in One forms.  These forms are customized state by state for your company.  The forms are suitable for electronic execution and you can use any electronic signature service you like or do it yourself with ADOBE.
    If you want to retain title to the equipment then you can use the All in One in lease format.  However, title never transfers unless you elect to sell the equipment at the end of the term for the agreed value, or a lesser amount if you wish.
    It's going to take some getting use to when you switch to the new All in One forms.  You should expect that.  Sort of like you're driving around in a 1960 stick shift VW Beatle and I'm putting you into a 2015 BMW.  That's a good analogy because if you're using contracts as old as you indicate you're probably actually driving something close to the VW.  Use the All in One forms for a few years and get a new car.
