Ken,
I am sure this has been covered in the past but I need to ask anyway.
Once a subscriber has fulfilled the agreement and for what ever reason
has moved on, how long do we need to hold onto dead files?
I have been racking my brain trying to figure out if we have any
liability after all is satisfactorily said and done. There are no
services being rendered, the contract has expired, there are no payments
outstanding, the system has been reset to factor defaults, etc.
Ordinarily contracts expire on a set date and services are suspended. If
your answer is to retain these files for a period of time, should
certain terms in the contract extend past the time of actual service
being rendered in order to receive the protection in the contract?
Otherwise, are we holding onto files containing expired contracts that
will not be useful should something in the future pops up?

I am trying to clean my office. However, I hold on to everything including customer folders that include programing sheets, wire list and contracts of customers that have canceled, closed their account and sold etc. How long should I hold on to these folders? Are there certain types of accounts that we should keep over others.
I fear that they might come back and make some kind of claim for something that happened in the past. I would need the documentation and the contracts to defend the company.
On occasion we will have had the second person that takes over the space contact us to activate the system. Having the account folder has saved time.

There are a number of competing guidelines, suggestions, requirements, both regulatory and statutory. Certainly you should retain subscriber records beyond the life of the contract because the statute of limitations to sue you will likely survive that date. Negligence and breach of contract causes of action typically have statute of limitations of 3 years and 6 years, respectively. The statutes are state law so they do differ state by state; some longer, some shorter. You should preserve your subscriber records at least as long as the statute of limitations. If you know your subscriber has suffered a loss then you should preserve the files until you are certain that there is no pending litigation, even if you are not a party to that litigation. You can be dragged into litigation even after the statute of limitations has expired by a third party action [may not be available in all jurisdictions].
You should also look to your licensing statute which may prescribe a time period for maintaining subscriber and other business records. Your records can be scanned and maintained electonically.
Records for an existing account should be maintained.
